When we say "Destroy Sega" we mean that Sammy wants Sega to focus on arcade games, using cheap arcade hardware, and keep little focus on home console games.
This means Sega would stop devolpement of Model 4 or Naomi 3, and no Chihiro arcade boards (currently the most powerful) to make amazing-looking games.
Some of those franchises I mentioned might be revived as arcade games, but again they won't be ground-breaking, just average looking and lacking depth since arcade games are meant to last only a few minutes.
Lastly, it would probably mean the end of Sega RPGs. No Phantasy Stars, no Skies of Arcadia, no new adventure games. That's pretty much destroying Sega.
And to answer your question, they haven't merged yet, but Sammy owns about 25% of Sega in shares of stock. So they have a lot of control over what they do now.
